Terms & Condition

Please read these Terms & Conditions ("Terms," "Terms of Service") carefully before using the services provided by Rolex Digital Solution ("Company," "we," "us," or "our"). By engaging us for any services, you agree to be bound by these Terms.

 

1. Definitions of Services

 

Rolex Digital Solution provides the following core services (collectively, the "Services"):

 

  • WhatsApp API Implementation: Integration, hosting, and management of the Meta-owned WhatsApp Business Platform (Cloud API) for scalable customer messaging, automation, and chat commerce.

  • Meta Verification & OBA Status: Consulting and management services to assist clients in obtaining and maintaining the Meta Verified badge and Official Business Account (OBA) status across Meta properties (WhatsApp, Instagram, Facebook).

  • Meta Ads Management: Creation, optimization, and reporting of paid advertising campaigns on Meta Platforms (Facebook, Instagram, Click-to-WhatsApp) to drive leads and conversions for the Client.

 

 

2. Client Obligations and Account Ownership

 

A. Compliance with Meta Policies

 

The Client is solely responsible for adhering to all Meta Platform Terms, including the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy, and the Meta Advertising Standards. Any suspension or termination of the Client's account due to policy violation is the sole responsibility of the Client, and Rolex Digital Solution is not liable for associated damages or losses.

 

B. Data Consent and Opt-In

 

The Client warrants that they have obtained and will maintain all necessary legal consents, permissions, and opt-ins from their end-users to initiate communications via the WhatsApp API, as required by applicable data protection laws (e.g., GDPR, CCPA).

 

C. Account Ownership and Security

 

The Client maintains full ownership and financial responsibility for their Meta Business Manager account, ad spend budgets, and the associated WhatsApp Business Account (WABA). Rolex Digital Solution will be granted necessary access permissions but is not responsible for securing or recovering the Client’s Meta Business credentials.

 

3. Payment, Fees, and Termination

A. Service Fees

 

Fees for Services rendered by Rolex Digital Solution will be detailed in a separate Statement of Work (SOW) or Service Agreement. Fees are typically structured as a combination of-

 

  • Setup/Implementation Fees (one-time).

  • Monthly Management Fees (recurring retainer).

  • Usage Fees (covering WhatsApp conversation charges, which are passed directly to the Client).

 

B. Meta Platform Costs

 

The Client acknowledges that all costs related to Media Spend (Meta Ads) and Conversation Fees (WhatsApp API usage) are paid directly by the Client to Meta or the relevant third-party provider and are separate from Rolex Digital Solution’s management fees.

 

C. Termination

 

Either party may terminate the Services by providing thirty (30) days written notice to the other party. Upon termination:

 

  • The Client must immediately pay all outstanding fees for services rendered up to the termination date.

  • Rolex Digital Solution will cease all work and revoke its access to the Client's Meta accounts.

 

4. Refund and Service Fee Policy

 

This section details the refund policy for fees paid directly to Rolex Digital Solution (i.e., Setup Fees and Monthly Management Fees).

 

A. Refund on Management Fees

 

Refunds for monthly management fees are granted under the following strict conditions:

 

  • Pre-Service Cancellation: A full refund of the first month's Management Fee will be issued if the Client cancels the Services before the project kickoff meeting and before any work (including but not limited to strategy documents, account audits, or campaign planning) has begun.

  • Service Interruption by Company: A pro-rata refund of the current month's Management Fee will be issued if Rolex Digital Solution is unable to perform its contracted duties for a cumulative period of seven (7) consecutive business days due to reasons directly attributable to the Company (excluding force majeure, Client delays, or Meta platform outages).

 

B. Non-Refundable Items (Fees Paid to Company)

 

The following fees are non-refundable:

 

  • Setup/Implementation Fees: Once the setup or implementation work has commenced, these one-time fees are considered earned and non-refundable, regardless of project outcome or early termination.

  • Earned Monthly Management Fees: Management fees for work already performed in any given month are non-refundable.

 

C. Ad Spend Refund Policy (Meta Platform Costs)

 

The Client acknowledges and agrees that Rolex Digital Solution does not handle, process, or refund Media Spend (Ad Spend) or WhatsApp Conversation Fees.

 

  • Ad Spend Responsibility: All Ad Spend and WhatsApp Conversation Fees are expenses paid directly by the Client to Meta Platforms, Inc. or the relevant third-party provider.

  • Refund Procedure: Any requests for refunds, credits, or disputes related to charged ad spend or conversation fees must be submitted by the Client directly to Meta Platforms, Inc. or the relevant platform provider, in accordance with their respective refund policies.

  • Company Assistance: Rolex Digital Solution may, upon written request, assist the Client in navigating Meta's refund or dispute process but provides no guarantee of a successful outcome or refund.

5. Warranties and Limitation of Liability

 

A. Disclaimer of Guarantee

 

Rolex Digital Solution warrants that all Services will be performed professionally and diligently. However, due to the nature of third-party platform reliance (Meta, WhatsApp), we do not guarantee specific outcomes, including but not limited to:

 

  • Successful attainment of Meta Verification (Green Tick), which is subject to Meta’s sole discretion.

  • Specific advertising results, conversion rates, or return on investment (ROI).

  • Uninterrupted operation of the WhatsApp API (service uptime is dependent on Meta).

 

B. Limitation of LiabilityTo the maximum extent permitted by law, Rolex Digital Solution shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from:

 

  • The Client's use or inability to use the Services.

  • Any unauthorized access to or use of the Client's data by third parties.

  • Any actions taken by Meta Platforms, Inc. (e.g., account bans, policy changes, ad spend disputes).

 

The total liability of Rolex Digital Solution for any claim arising out of or relating to these Terms shall not exceed the total amount of fees paid by the Client to Rolex Digital Solution in the six (6) months preceding the claim.

 

6. Governing Law and Dispute Resolution

 

These Terms shall be governed by and construed in accordance with the laws of Indore Jurisdiction without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved by binding arbitration in Indore [M.P)
